Kinetic Services, LLC – Client Referral Program Terms and Conditions

These Terms and Conditions govern participation in the Kinetic Services, LLC Client Referral Program (“Program”) offered through PartnerStack. By joining, you agree to comply with and be bound by these Terms and Conditions.

1. Eligibility

To participate, you must:

  • Be 18 years or older
  • Have a valid bank or PayPal account to receive commissions
  • Promote Kinetic in an ethical, professional manner—without spam, misleading claims, or prohibited marketing practices

Kinetic reserves the right to approve or reject any application at its sole discretion.

2. Referral Link and Tracking

A. Referral Links and Attribution

  • Upon approval into the Program, you will receive unique referral links generated through PartnerStack.
  • All referrals must use your assigned link to qualify for commissions.
  • Leads not properly attributed through your referral link, or that originated before your registration, may be ineligible.
  • Attribution is determined exclusively by PartnerStack’s tracking system and Kinetic’s internal records, which are final and binding.

B. Tracking Technology and Data Collection

  • Kinetic uses industry-standard tracking tools, including cookies, pixels, and link identifiers, to attribute referrals accurately.
  • Tracking may involve the use of first-party and third-party cookies or similar technologies.
  • Cookies typically remain active for the attribution window set by Kinetic unless deleted or expired.
  • Referral Partners are responsible for ensuring their marketing practices comply with all applicable privacy and data-protection regulations, including GDPR, CPRA, and CAN-SPAM.

C. 30-Day Attribution Lock-In Period

When a referred lead books a demo using your referral link, a 30-day lock-in period begins from the date of booking.

During this 30-day window:

  • The lead remains attributed to you, even if they later engage through other Kinetic marketing channels.
  • If the demo is canceled or not completed within 30 days, the demo commission will not be payable.
  • If the prospect becomes a paying client within the same 30-day window, attribution remains valid.
  • If Kinetic determines that the lead was an existing client, current prospect, or duplicate submission, the referral may be disqualified.
  • Kinetic reserves the right to override or reassign attribution in cases of suspected fraud or violation of Program rules.

D. Data Privacy and Compliance

In accordance with the General Data Protection Regulation (GDPR) and the California Privacy Rights Act (CPRA):

  • Referral Partners and referred leads will be informed of tracking technologies and consent will be obtained where legally required.
  • Referral Partners must provide transparent disclosures in all promotional materials, identifying themselves as independent participants in the Kinetic Referral Program.
  • All personal data collected or processed under this Program must be used solely for referral-tracking purposes and handled lawfully and securely.
  • Any violation of data-protection, anti-spam, or disclosure requirements may result in suspension, termination, or forfeiture of unpaid commissions.

3. Commission Structure

A. Earning Commissions

As a Referral Partner, you will earn the following commissions:

  • $50 — For every qualified lead who fully attends a live demo with a Kinetic representative.
  • $500 — For every referred lead who signs a client agreement and becomes a paying customer for at least one full-time contractor.
  • $100/month — Recurring commission for each active client account, starting from the second month, as long as:
    • The client remains in good financial standing (not behind on payments); and
    • Maintains at least one active full-time contractor.

A qualified lead is a business decision-maker or stakeholder who:

  • Is not an existing Kinetic client or active prospect;
  • Represents a registered business with an active website;
  • Uses a company email address (not Gmail, Outlook, or Yahoo);
  • Has an active social or online presence at least 3 months old; and
  • Has a genuine intent to hire remote staff within 12 months.

B. Conditions and Limitations

  • Demo commissions are payable only for new leads who attend a live demo in full.
  • Conversion and recurring commissions are issued only after the client has paid their first invoice and remains current on payments.
  • All referrals are subject to the 30-day attribution lock-in period described in Section 2.
  • Referrals involving self-dealing, manipulation, or ownership overlap may be denied or clawed back.
  • Kinetic reserves the right to verify eligibility and to deny any demo claim for any reason.

If any lead fails to meet the “qualified lead” criteria, the demo commission will be deferred until that lead becomes a paying client.

4. Payout Terms

A. Payout Schedule

  • Commissions are paid monthly.
  • Payments are made via bank transfer or PayPal through PartnerStack.
  • A minimum of $100 in total earned commissions is required before a payout is processed.

B. Eligibility for Payment

Demo commissions are paid only when:

  • The lead is new and meets the definition of a qualified lead; and
  • The demo session was completed in full.

Client conversion and recurring commissions are issued only after:

  • The client has paid their first invoice; and
  • Remains current on payments.

All payouts are governed by the 30-day attribution lock-in and subject to fraud and compliance verification.

C. Reversals and Adjustments

Commissions may be reversed, reduced, or offset against future payouts if:

  • A client cancels, refunds, or defaults on payments;
  • A referral is later deemed ineligible; or
  • A tracking or attribution error is identified.

Disputes regarding commissions must be reported in writing to [email protected] within 30 days of the payout date.
After this period, payouts are deemed final.

5. Prohibited Practices

Referral Partners must not:

  • Make false or misleading claims about Kinetic’s services
  • Use paid ads competing on “Kinetic” or related branded terms
  • Send unsolicited or bulk emails (spam)
  • Use deceptive, unethical, or misleading tactics to generate referrals

Violations may result in immediate termination and forfeiture of unpaid commissions.

6. Relationship of Parties

Referral Partners act as independent contractors

Participation does not create any employment, joint-venture, or agency relationship between the Partner and Kinetic.

7. Program Modifications

Kinetic reserves the right to modify the Program, including commission rates and structure, at any time.

Referral Partners will be notified in advance via email or the PartnerStack portal.

8. Termination

Either party may terminate participation at any time. Upon termination:

  • Referral Partners will no longer earn new or recurring commissions.
  • All pending or future commissions will immediately cease.

9. Data Protection and Privacy Compliance

Kinetic processes personal information in accordance with its Privacy Policy, GDPR, and CPRA.

Referral Partners must not share or disclose any personal data of referred leads without lawful consent.

Partners agree to handle data transparently and lawfully and comply with privacy and anti-spam laws when conducting outreach.

Individuals may request to access, correct, or delete their data by emailing [email protected].

Failure to comply may result in immediate termination.

10. Governing Law

This Agreement is governed by the laws of Sheridan, Wyoming, USA.

11. Limitation of Liability

Kinetic shall not be liable for any indirect, incidental, or consequential damages (including loss of profits, revenue, or data) arising out of participation in the Program. Kinetic’s total liability shall not exceed the total commissions paid to the Referral Partner in the twelve (12) months preceding the claim.

12. Dispute Resolution

Any dispute, claim, or controversy arising from this Agreement shall be governed by the laws of Sheridan, Wyoming, USA, and submitted to the exclusive jurisdiction of the state and federal courts located in Sheridan, Wyoming, unless otherwise required by applicable law.

13. Survival

Sections concerning Data Protection and Privacy Compliance, Limitation of Liability, Dispute Resolution, and Governing Law shall survive termination of this Agreement.

14. Miscellaneous

  • Entire Agreement: These Terms constitute the full agreement between Kinetic and the Referral Partner.
  • Severability: If any provision is held invalid, the remainder shall remain in effect.
  • Waiver: Kinetic’s failure to enforce any right does not waive it.
  • Assignment: Referral Partners may not assign their rights without prior written consent from Kinetic.
